By accessing or using the ERPat System, you agree to be bound by these Terms and Conditions, the Privacy Policy, and all applicable laws and regulations, including GDPR and the Philippine Data Privacy Act (RA 10173). If you do not agree, you must not use the ERPat System.
The ERPat System provides a web-based ERP platform allowing customers to manage business operations, including but not limited to accounting, payroll, inventory, and reporting modules.
Customers are responsible for: – Ensuring lawful use of the ERPat System – Maintaining the confidentiality of account credentials – Ensuring that personal data entered into the ERPat System is collected and processed lawfully in compliance with GDPR and RA 10173
We process personal data in accordance with the Privacy Policy and applicable data protection laws. Where we process personal data on behalf of customers, the Data Processing Agreement set out in Annex A applies.
All intellectual property rights in the ERPat System remain our exclusive property. Customers are granted a limited, non-exclusive, non-transferable right to use the ERPat System during the term of the agreement.
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages arising from the use of the ERPat System.
We may suspend or terminate access to the ERPat System for violation of these Terms. Upon termination, customer data will be handled in accordance with the Privacy Policy and Data Processing Agreement.
These Terms are governed by and construed in accordance with applicable laws, including Philippine law and GDPR where applicable, without regard to conflict of law principles.
This DPA governs the processing of personal data by us on behalf of the customer for the duration of the ERPat System Service agreement.
Processing is limited to providing, maintaining, and supporting the ERPat System, including storage, access, and transmission of personal data.

We may engage sub-processors subject to appropriate contractual safeguards in compliance with GDPR and RA 10173.
Upon termination of the ERPat System Service, personal data will be deleted or returned to the customer, subject to legal retention requirements under GDPR and RA 10173.
We shall make available information reasonably necessary to demonstrate compliance with this DPA.
